Terms in a contract, which are agreed statements of facts about the contract and the circumstances in which the contract was entered into. Recitals are frequently preceded by the term “whereas” and should be regarded as similar to representations. Recitals are more legally significant than most contract parties realize, since they are in effect signed declarations of fact which it will be difficult for a contracting party to argue were false at a later date.
